These Terms of Service ("Terms") govern your access to and use of googleadsagent.ai ("Service"), operated by John Williams of It All Started With A Idea ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 18 years old and agree to comply with these Terms. If you do not agree, you must not use the Service. We may update these Terms at any time, and continued use after changes constitutes acceptance.

2. Description of Service

googleadsagent.ai provides AI-powered Google Ads management tools, including:

• An AI agent with 28 custom API actions for reading and writing Google Ads data
• 6 specialized sub-agents for reporting, research, optimization, shopping, and creative tasks
• Dashboard tools for campaign analytics and performance monitoring
• Auxiliary tools including a keyword analyzer, audit engine, ads builder, and social media builder

The Service interacts with the Google Ads API on your behalf, executing actions as directed by you through natural language instructions processed by AI models.

3. User Accounts and Authentication

• Access to Google Ads management features requires authentication via Google OAuth 2.0.
• By authenticating, you grant the Service permission to access your Google Ads account data and perform actions as directed by you.
• You are responsible for maintaining the security of your Google account and for all actions taken through the Service using your credentials.
• You may revoke access at any time through your Google Account permissions.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to the Service, its servers, or any connected systems
• Use automated scripts, bots, or scrapers to access the Service (except through our documented API)
• Abuse, overload, or interfere with the Service's infrastructure or other users' access
• Use the Service to violate the rights of others, including intellectual property rights
• Upload or transmit malicious code, viruses, or harmful data
• Attempt to reverse-engineer, decompile, or extract source code from the Service's proprietary components
• Use the Service to send spam, phishing, or other unsolicited communications through Google Ads

5. Intellectual Property

• The Google Ads API Agent (the underlying open-source agent) is released under the MIT License. You may use, modify, and distribute the agent code in accordance with that license.
• The googleadsagent.ai website, its design, branding, original content, and proprietary tools are copyrighted by It All Started With A Idea. All rights reserved.
• The "THE LOOP," "googleadsagent.ai," and "It All Started With A Idea" names and associated branding are the property of John Williams.
• Third-party trademarks (Google, Google Ads, Claude, Anthropic, etc.) belong to their respective owners.

6. Google Ads API Terms

By using the Service to access your Google Ads account, you acknowledge and agree that:

• You must comply with the Google Ads API Terms of Service.
• You must comply with all applicable Google Ads policies.
• You are responsible for ensuring that any changes made to your Google Ads account through the Service comply with Google's policies.
• We are not responsible for any policy violations, account suspensions, or penalties resulting from changes you direct the AI agent to make.

7. AI-Generated Content Disclaimer

The Service uses artificial intelligence (including models from Anthropic, OpenAI, and Google) to analyze data and suggest actions. You acknowledge that:

• AI outputs are suggestions and recommendations, not guarantees of performance or outcomes.
• You are solely responsible for reviewing and approving any changes before they are applied to your Google Ads account.
• Write operations (changes to your account) require explicit confirmation through the Service's safety protocols.
• AI models may produce inaccurate, incomplete, or suboptimal recommendations. Always verify AI suggestions against your own judgment and business knowledge.
• We do not guarantee any specific advertising results, ROI, conversions, or cost savings from using the Service.

8. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• We shall not be liable for any loss of revenue, profit, data, or business opportunities resulting from actions taken through the Service.
• We shall not be liable for any Google Ads account performance changes, policy violations, or account suspensions.
• Our total aggregate liability shall not exceed the amount you paid us for the Service in the 12 months preceding the claim (which, for free-tier users, is $0).

9. Indemnification

You agree to indemnify, defend, and hold harmless John Williams, It All Started With A Idea, and their affiliates, from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of Google Ads policies or Google API Terms of Service
• Any changes made to your Google Ads account through the Service
• Any content or data you provide to the Service

10. Service Availability

• We provide the Service on a best-effort basis. We do not guarantee 100% uptime or uninterrupted access.
• The Service may experience downtime for maintenance, updates, or due to circumstances beyond our control (including Cloudflare, Google, or AI provider outages).
• We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice.
• We are not liable for any losses or damages resulting from Service unavailability.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. Material changes may be communicated through a notice on the Service. Your continued use of the Service after any modification constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from or related to these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved in the federal or state courts located in the United States, and you consent to the personal jurisdiction of such courts.
